Modernizing Contract Review Starts with a Mindset Shift

Legal often presents itself as complex, mysterious, and untouchable.
It is complex — but it’s not magic.

At CFS, we believe modernizing contract review starts by understanding that it’s a process — not a ritual.

Contracts Are Like Cars — Complex, But Built to Be Used

A business contract is more like a car than a crystal ball.

Under the hood, there are a lot of moving parts — indemnities, payment terms, warranties, and liability caps. But just like a car, you don’t need to know how to build one to drive it well.

The issue? We’re still hand-building contracts like it’s 1910. They’re drafted from scratch, redlined by hand, negotiated line by line, and emailed back and forth for weeks.

Why Legal Moves Backward While Business Moves Forward

The legal profession looks backward to move forward. We rely on precedent, tradition, and case law. And that makes us cautious — sometimes too cautious — about adopting anything new.

But modern B2B contracts are built for the future. They aren’t just legal documents — they’re tools for balancing risk and revenue.

And they need to be fast.

A Real-World Problem: When Legal Holds the Pen

Here’s what that looks like in practice:

  • A deal is about to close.
  • Leadership wants to hit the number.
  • The customer is ready to sign.
  • Legal’s still reviewing the contract.

I’ve been the lawyer in those rooms — at startups, scale-ups, and public companies. I’ve seen quarter-end deals fall apart because review timelines didn’t match business speed.

And I’ve seen leadership take calculated risks to hit revenue targets. That’s how business works — but those risks need to be understood.

Legal Should Be a Guide, Not a Gatekeeper

When I advise clients, I always say:

  • Take the risks fully within your control (like delivering software).
  • Hold your customers accountable for their part (like paying on time).
  • Negotiate shared or uncontrollable risks carefully (like working with third parties or handling outages).

That’s the job.

That’s also why modernizing contract review matters.
